Terms of Service · GotoRamp Video

Takes effect when accounts open. Early-access customers accept the final version before first use.

1. Who we are

GotoRamp Video (the “Service”) is provided by GotoRamp LLC, a US limited liability company based in Mountain View, California (“GotoRamp”, “we”). These Terms form a contract between GotoRamp and the business that opens an account (“you”).

2. Eligibility

The Service is for businesses and professional developers, not for personal or household use.
You must be established in, and use the Service from, a country listed as available on our availability page. You must not use the Service, or let anyone else use it, from any other country.
You must not be located in, organized under the laws of, or owned or controlled by persons in a country or region subject to comprehensive US sanctions, or be on a US government restricted-party list.
The person accepting these Terms must be authorized to bind your business.

3. Accounts and keys

You're responsible for all activity under your account and API keys. Keep keys confidential, rotate them if exposed, and tell us promptly at security@gotoramp.ai if you suspect unauthorized use. You may not sell, share or sublicense access to the Service except under a separate written reseller agreement with us.

4. Balance, pricing and tax

The Service is prepaid. Usage is charged against your balance at the per-second rates shown in the console when the job is submitted.
Jobs that fail, and requests refused for any reason, are not charged.
Prices exclude taxes. Where we are registered for tax in your country, we add tax to the invoice; otherwise you are responsible for accounting for any tax due.
Balance does not expire while your account is active. A top-up is refundable on request within 30 days if none of it has been used. Otherwise unused balance is non-refundable, except where required by law, if we stop serving your country, or if we close your account under section 9 without cause.
We may change rates with at least 30 days' notice. Changes don't affect jobs already submitted.

5. Acceptable use

You must follow our Acceptable Use Policy, which is part of these Terms. You are responsible for your end users' compliance if you make the Service available inside your own product.

6. Your content and outputs

Inputs. You keep your rights in the prompts, images, video and audio you submit (“Inputs”). You confirm you have the rights and consents needed to submit them, including consent from any identifiable person.
Outputs. As between you and GotoRamp, you own the videos generated for you (“Outputs”), to the extent the law and the applicable model provider terms allow. Similar prompts may produce similar outputs for other customers.
Licence to us. You give us a limited licence to process Inputs and Outputs only to provide the Service, bill you, prevent abuse and comply with law.
No training. We don't use Inputs or Outputs to train models.
Labels. You must not remove AI-generated labels or provenance metadata, and you must disclose AI-generated content where a platform or law requires it.

7. Model providers

Outputs are generated by third-party models that we access under our agreements with their providers. We may add, change or retire models and model versions. Where a provider's terms require us to pass restrictions on to you, those restrictions appear in the Acceptable Use Policy or the console and apply to you.

8. Service changes and availability

We work to keep the Service available but don't guarantee uptime unless we agree a service level in writing. We may change the Service, including the list of available countries, with notice where practicable. If we stop serving your country, you may request a refund of your unused balance.

9. Suspension and termination

You may close your account at any time. We may suspend or close your account immediately if you break these Terms or the Acceptable Use Policy, if required by law or a model provider, or if your use risks harm to others or to the Service. We may close your account without cause on 30 days' notice, in which case we refund your unused balance.

10. Disclaimers

Generated video can be inaccurate, unexpected or unsuitable. Review every Output before you use it. Except as stated in these Terms, the Service is provided “as is” and we disclaim all implied warranties to the extent the law allows.

11. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental or consequential loss, or loss of profit or data, and each party's total liability under these Terms is limited to the amounts you paid us in the 12 months before the claim. These limits don't apply to your payment obligations, your indemnity under section 12, or liability that cannot be limited by law.

12. Indemnity

You will defend and indemnify GotoRamp against third-party claims arising from your Inputs, your use of Outputs, or your breach of these Terms or the Acceptable Use Policy.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved by arbitration administered by the Singapore International Arbitration Centre under its rules, seated in Singapore, in English, by a single arbitrator. Either party may seek urgent injunctive relief from a competent court.

14. General

We may update these Terms with 30 days' notice by email; continued use after that means you accept the update. If a provision is unenforceable, the rest stays in effect. These Terms, the Acceptable Use Policy, the Privacy Notice and any signed order form are the whole agreement between us. Notices to us go to legal@gotoramp.ai.
